1. Age Requirement

All customers must be at least 18 years of age. We reserve the right to refuse any order if we have reason to believe the customer is under 18.

2. Research Use Only

All products sold by CopenhagenChems are strictly for laboratory and in-vitro research purposes only. They are not intended for human or animal consumption, therapeutic, diagnostic, cosmetic, food, veterinary, or any other non-research use.

By purchasing you represent and warrant that you are buying the products solely for legitimate scientific research and will not use, or allow others to use, the products for any prohibited purpose.

3. No Medical or Performance Claims

Nothing on this website constitutes medical advice, nor are any products sold for beauty, performance enhancement, or any health-related purpose.

4. Assumption of Risk & Limitation of Liability

You assume all risk associated with the possession, handling, storage and use of the products. To the fullest extent permitted by law, CopenhagenChems and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages. Our total liability shall in no event exceed the purchase price paid by you for the specific product giving rise to the claim.

You agree to indemnify and hold CopenhagenChems harmless from any and all claims, losses, liabilities, costs and expenses arising from your handling, possession, misuse or use of the products.

5. Product Information & Warranty

All products are sold "as is" with no warranties, express or implied. You are solely responsible for verifying the suitability of the products for your research and for complying with all applicable laws and regulations.

6. International Orders, Export Controls & Sanctions

You are solely responsible for compliance with all laws and regulations of your jurisdiction, including export control and sanctions laws (such as those administered by the EU, UN, OFAC or equivalent). Products may not be exported, re-exported, or transferred to any sanctioned or prohibited country, entity, or individual.

CopenhagenChems does not provide any assurance that the products are legal for import or research use in your location. All customs duties, taxes, import fees and any other charges are your responsibility. We accept no liability for packages seized or delayed by customs. Any resale or redistribution is at your own risk and must comply with all applicable laws.

7. Prohibited Activities

You may not:

• Resell, distribute or repackage our products for commercial purposes;
• Use the products in violation of any law;
• Reverse engineer, decompile or attempt to extract proprietary information from our products or website.

8. Force Majeure

CopenhagenChems shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, government orders, or supply-chain disruptions.

9. Payment & Chargebacks

All payments are final. You agree not to initiate any chargeback or reversal unless explicitly authorized by us. In case of unauthorized chargeback, you agree to reimburse us for the full amount plus any bank or processing fees incurred.

10. Right of Withdrawal (EU Consumers)

If you are a consumer resident in the European Union, you have the right to withdraw from your purchase within 14 days of the day you, or a third party indicated by you, take physical possession of the goods. You do not have to give a reason.

To exercise the right of withdrawal, inform us by a clear statement sent to [email protected] before the 14-day period expires. We will reimburse all payments received from you, including standard delivery costs, without undue delay and no later than 14 days from the day we are informed of your decision. We may withhold reimbursement until we have received the goods back, or you have supplied evidence of having sent them.

Statutory exception for sealed goods. Under Article 16(e) of Directive 2011/83/EU, the right of withdrawal does not apply to sealed goods which are not suitable for return for health protection or hygiene reasons, if the seal has been broken after delivery. Our products are supplied as sealed vials. If the seal is broken, the right of withdrawal for that item is lost. Unopened, sealed items may be returned within the 14-day period.

You are responsible for the direct cost of returning the goods, and for any diminished value resulting from handling beyond what is necessary to establish the nature and characteristics of the goods.

This right applies to consumers. It does not apply to purchases made in the course of a trade, business, craft or profession.

11. Privacy and Data Protection (GDPR)

We process your personal data in full compliance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). By using the website and placing orders you consent to the collection, processing, storage and transfer of your personal data as described in our Privacy Policy.

We collect and process data necessary to fulfill orders, provide customer support, prevent fraud, and improve our services. You have the right to access, rectify, erase, restrict processing, object to processing, and data portability. To exercise these rights, contact [email protected].

We use trusted processors bound by strict data processing agreements. The current list is set out in our Privacy Policy. International data transfers are protected by appropriate safeguards.

12. Intellectual Property

All content, images, logos and text on this website are the exclusive property of CopenhagenChems. You may not copy, reproduce, distribute or use any material without prior written consent.

13. Affiliate Program

Affiliates must comply with all program rules. CopenhagenChems may terminate an affiliate account at any time, without notice, for any breach including (but not limited to):

• Use of brand keywords ("CopenhagenChems", "Copenhagen Chems" etc.) in PPC, SEO or paid advertising
• Self-referrals or self-orders
• Promotion on coupon, discount or deal websites
• Misleading claims or use of adult, illegal or high-risk traffic
• Any violation of the Research Use Only policy

In case of violation, commissions may be withheld, clawed back or permanently forfeited. Terminated affiliates may not re-register under any account or domain they control.

14. Account Termination

We reserve the right to terminate or suspend any account or order at our sole discretion without notice.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.

16. Entire Agreement & No Waiver

These Terms constitute the entire agreement between you and CopenhagenChems. Failure by us to enforce any provision does not constitute a waiver of that provision.

17. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of the website or placing new orders after changes constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remainder of the Terms shall continue in full force and effect.
